Ruminant, LLC Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, mobile interfaces, and related services operated by Ruminant, LLC ("Ruminant," "we," "our," or "us"). By using or accessing the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Definitions

"Services" means the Ruminant website, platform, applications, and related features that allow users to request laboratory orders and view results.

"User" or "you" means any person accessing or using the Services.

"Providers" means independently licensed medical professionals who may determine whether laboratory testing is appropriate.

"Laboratories" means third-party clinical laboratories, including Laboratory Corporation of America Holdings (LabCorp), Quest Diagnostics Incorporated, and BioReference Laboratories, Inc.

"Content" means all text, graphics, information, data, software, and other material made available through the Services.

2. Nature of Services

Ruminant provides an online coordination platform that connects users with independent medical providers and laboratories for the facilitation of laboratory testing. Ruminant is not a medical group, provider, or laboratory and does not practice medicine or provide medical advice. All diagnostic and interpretive medical services are performed solely by independent, licensed providers who are not employed or controlled by Ruminant. Laboratory services are performed exclusively by third-party CLIA-certified laboratories.

3. Eligibility

You must be at least 18 years old and capable of entering into binding contracts. By using the Services, you represent and warrant that you satisfy these requirements.

4. No Medical Advice

All information made available by Ruminant, including educational materials, summaries, or platform messages, is provided for informational purposes only and is not medical advice. Always seek the advice of your physician or other qualified health-care provider regarding medical questions or conditions. Never disregard or delay professional advice because of information obtained through Ruminant.

5. Laboratory Results and Interpretive Information

Ruminant may provide access to laboratory test results and related interpretive or educational information ("Lab Report") through the Services. This Lab Report is designed solely for informational and educational purposes to help Users better understand general wellness concepts and the ranges of biomarkers commonly considered "optimal" by publicly available, non-clinical health literature.

No Diagnosis or Medical Interpretation:

  • The Lab Report is not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.
  • References to "optimal," "recommended," or "target" values are non-medical opinions based on general wellness frameworks and do not constitute clinical interpretation of laboratory data.
  • The Lab Report is not a medical test result interpretation, and Ruminant is not a medical provider or laboratory.
  • Laboratory data are generated solely by independent CLIA-certified laboratories (LabCorp, Quest Diagnostics, or BioReference Laboratories, Inc.) and are provided "as is."

Consult Your Physician:

You should always discuss your laboratory results with a licensed healthcare provider who can interpret them in the context of your full medical history, symptoms, and other diagnostic information. Never make changes to your medications, treatment plans, or lifestyle solely based on information contained in the Lab Report.

No Warranty or Accuracy Guarantee:

Ruminant makes no representation or warranty about the accuracy, completeness, or clinical relevance of any laboratory result or interpretation. Laboratory results may vary based on collection timing, methodology, or laboratory performance. Ruminant does not guarantee that any values labeled "optimal" are applicable to you, or that such ranges reflect your health status.

Limitation of Use:

The Lab Report is not intended for clinical decision-making, diagnosis, or treatment, and should not be used as the basis for medical decisions. By using the Services, you acknowledge that the Lab Report is for informational use only and does not replace professional medical consultation.

6. Risks and Laboratory Services

You understand that laboratory tests may involve inherent risks, including blood draw discomfort, bruising, dizziness, infection, or inaccurate or unexpected results. Laboratory results are generated and reported solely by the respective laboratory. Ruminant does not collect specimens, perform testing, or verify results and is not responsible for the accuracy, timeliness, or interpretation of laboratory results.

7. Relationship with Independent Providers

If you are connected with an independent medical provider through the platform, that provider is solely responsible for all clinical decisions. Ruminant does not control or influence providers' medical judgment and is not responsible for their acts, omissions, or advice.

8. User Responsibilities

You agree to provide complete, truthful, and accurate information; use the Services only for lawful, personal purposes; maintain confidentiality of your account credentials; and not misrepresent your identity or medical information. False information may invalidate lab orders or results and may lead to suspension or termination of your account.

9. Transactions and Payment Processing

All payments are processed by independent, third-party payment processors. By submitting payment, you agree to be bound by that processor's own Terms of Service and Privacy Policy. You are responsible for ensuring that your payment information is accurate. Once laboratory services have been initiated or processed, all payments are non-refundable. If you believe there is an issue with a laboratory test, you must contact the applicable laboratory directly. Ruminant can provide the laboratory's contact details upon request but assumes no responsibility for their independent services. For billing inquiries, contact support@ruminantlabs.com.

10. Prohibited Uses

You may not use the Services for any unlawful purpose; impersonate another person; interfere with, disrupt, or compromise platform security; use automated systems to access data without authorization; or submit false or misleading health information. Ruminant reserves the right to suspend or terminate accounts violating these Terms.

11. Intellectual Property

All Content, trademarks, designs, and software provided through the Services are the exclusive property of Ruminant, LLC or its licensors and are protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes. You may not copy, modify, distribute, reverse engineer, or exploit the Services without our prior written consent.

12. Privacy

Your use of the Services is also governed by the Ruminant Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to those practices.

13. Disclaimer of Warranties

The Services and all related content are provided "as is" and "as available" without warranties of any kind, express or implied. Ruminant disclaims all warranties, including merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. We do not guarantee uninterrupted or error-free operation or that the Services are secure or free of viruses.

14. Limitation of Liability

To the fullest extent permitted by law, Ruminant, its owners, officers, employees, contractors, affiliates, successors, and assigns shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of or inability to use the Services. If liability is nevertheless found, Ruminant's total cumulative liability shall not exceed the total amount paid by you for the specific service giving rise to the claim.

15. Release and Assumption of Risk

You acknowledge that you use the Services voluntarily and at your own risk. You hereby release, waive, and forever discharge Ruminant and its affiliates from all claims or causes of action arising from your use of the Services, including ordinary negligence, except where prohibited by law. You agree not to file or participate in any lawsuit against Ruminant for such claims.

16. Indemnification

You agree to defend, indemnify, and hold harmless Ruminant, its affiliates, officers, directors, employees, and contractors from any and all claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising from your use or misuse of the Services; your violation of these Terms; or your violation of applicable law or rights of any third party.

17. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall occur in Maricopa County, Arizona, before a single neutral arbitrator. You and Ruminant waive any right to a jury trial or class action. Claims may be brought only in an individual capacity. Each party bears its own attorneys' fees and costs unless otherwise awarded.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict-of-law rules. Any arbitration or judicial proceeding arising under these Terms shall take place exclusively in Arizona.

19. Modifications to Terms

Ruminant may update these Terms at any time by posting the revised version on its website. The "Last Updated" date reflects the effective date. Continued use of the Services constitutes acceptance of the revised Terms.

20. Termination

Ruminant may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if it believes you have violated these Terms.

21. Severability and Survival

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, arbitration, and governing law shall survive termination.

22. Entire Agreement

These Terms, together with the Privacy Policy and any other incorporated policies, constitute the entire agreement between you and Ruminant and supersede all prior agreements or understandings regarding the Services.

23. SMS Text Message Communications

By providing your mobile phone number to Ruminant, you consent to receive SMS text messages related to your account and use of the Services. These messages may include order confirmations, updates about laboratory orders, reminders regarding next steps in the testing process, notifications when results are available, and general account or operational alerts ("SMS Notifications").

Consent to Receive Messages:

By opting in or providing your phone number, you authorize Ruminant to send SMS Notifications to the number you provide using automated technology. Message frequency may vary based on your activity.

No Marketing Messages Without Consent:

Ruminant will not send marketing or promotional SMS messages unless you provide separate express consent where required by law.

Opting Out:

You may opt out of SMS Notifications at any time by replying STOP to any message. After doing so, you may receive a confirmation message indicating that your request has been processed. Opting out may limit your ability to receive important order-related updates.

Message and Data Rates:

Message and data rates may apply depending on your mobile carrier plan. Ruminant is not responsible for any charges imposed by your carrier.

Accuracy of Phone Number:

You must provide an accurate mobile phone number and update it as needed. Ruminant is not responsible for delays or failures in SMS delivery caused by carriers or incorrect information.

Carrier Disclaimer:

Mobile carriers are not liable for delayed or undelivered messages. Delivery depends on carrier transmission and is outside Ruminant's control.
